Lessor Parent means the company which is the direct shareholder and beneficial owner of Lessor, which, as of the date hereof, is Zhong Yuan Aviation Leasing Co., Ltd. Lessor Tax means in relation to a Tax Indemnitee, any Tax referred to in Clause 20.4(b). LIBOR means, for any relevant sum and any relevant period: (a) the applicable Screen Rate; or (b) if no Screen Rate is available for Dollar deposit for that period, the arithmetic mean (rounded to four decimal places) of the rates, as supplied to Lessor at its request, by each Reference Bank as being the rate per annum at which Dollar deposits in an amount comparable to such sum are quoted by that Reference Bank to leading banks in the London interbank market, as of 11:00 a.m. (London time) on the Quotation Day for offering Dollar deposits for a period comparable to that period. Lien means any mortgage, pledge, lien, charge, encumbrance, assignment, hypothecation, title retention, trust arrangement or security interest or any other agreement or arrangement having a similar effect. Life Limited Part or LLP means any Part with a pre-determined life limit as mandated by the Manufacturer or, MPD, which requires any such Part to be discarded upon reaching such life limit. Losses means any Taxes, liabilities, obligations, settlements, losses, actions, claims, charges, proceedings, indemnity payments, break cost, increased cost, management time expense, damages, penalties, fines, fees, costs and expenses of whatsoever kind and nature at any relevant time incurred or paid by an Indemnitee and interest from the date on which the same were incurred or paid up to the date of receipt or recovery (whether before, on or after judgment) at the Default Rate (as conclusively certified by such Indemnitee), to the extent in each case not caused by the gross negligence or wilful misconduct of such Indemnitee. Maintenance Programme, as of any date of determination, means Lessee’s program of overhaul, maintenance, inspection and corrosion prevention for the Aircraft, approved by the Aviation Authority and which: (a) complies with the then latest revision of the MPD and Maintenance Review Board required items, systems, zonal, structural checks coming due within the subsequent interval of such check; (b) based upon and cross referenced to the airframe, engine and parts manufacturers' respective maintenance planning documents and recommendations; (c) incorporates the then latest revision of the Manufacturer’s Corrosion Prevention and Control Program for aircraft of similar type as the Aircraft; and (d) complies with the then current Engine Manufacturer’s Engine Management Program. Maintenance Reserves Letter of Credit has the meaning provide in Clause 6.10(Maintenance Reserves Letter of Credit). Manufacturer means The Airbus S.A.S., a company incorporated under the laws of the French Republic. |
