(d) Liens (other than for taxes) arising out of judgements or awards against Lessee with respect to which at the time an appeal or proceeding for review is being prosecuted in good faith and for which a stay of execution has been granted and adequate reserves have been made so long as the same or the continued existence of the Lien does not involve any danger of the sale, forfeiture or loss of any Item of Equipment or any interest therein or any criminal liability of any Indemnitee; (e) Lessor Liens; (f) any Lien arising from any Finance Documents. Permitted Sublease means a permitted sublease of the Aircraft in accordance with Clause 13.1(c) (Possession and subleasing). Permitted Sublessee means: (a) each subsidiary airlines of HNA Group located within PRC (for purpose of this definition, including the Hong Kong Special Administrative Region) provided that such scope may be revised from time to time by agreement of Lessor and lessee, if Lessor reasonably considers that any entities listed therein (i) shall have suffered an adverse change to their financial or business condition; or (ii) are incorporated (if place of incorporation is changed) or otherwise operate in any jurisdiction which Lessor reasonably considers to be an unacceptable jurisdiction in respect of the protection of rights of lessors, owners and/or financiers of aircraft and/or the ability to repossess aircraft (either due to the legal or political regime thereof); or (iii) are or are otherwise incorporated (if place of incorporation is changed) in or operate in a jurisdiction which Lessor or any Finance Party is prohibited by Applicable Law from doing business with; and (b) each other person in respect of which Lessor has given its prior written consent (such consent not to be unreasonably withheld) in connection with a proposed sublease of the Aircraft under Clause 13.1(c) (Possession and subleasing). Power of Attorney means the power of attorney substantially in the form of Schedule 8 (Form of Power of Attorney) executed by Lessee or, as the case may be, a Permitted Sublessee in favour of each of Lessor, the Owner and, if applicable, the Security Trustee. PRC or China means The People’s Republic of China (excluding, for the purpose of this Agreement, the Hong Kong Special Administrative Region, Macau Special Administrative Region and the Taiwan region). Prohibited Country means any state, country or jurisdiction which is subject to any sanction or embargo by the United Nations, the European Union (or the United Kingdom, France or Germany), the United States of America, the Country of Registration or the Habitual Base. Protocol means the Protocol to the Convention on International Interests in Mobile Equipment on Matters Specific to Aircraft Equipment, concluded in Cape Town South Africa, on November 16, 2001 (utilising the English-language version thereof) in each case to the extent in effect in the relevant jurisdiction. |
