Maintenance Adjustment Compensation means the compensation determined in accordance with Schedule 4 (Maintenance Adjustment Compensation). Maintenance Adjustment Rate means, in respect of the Airframe, the Landing Gear and the APU, the relevant rate determined in accordance with Schedule 4 (Maintenance Adjustment Compensation). Material Adverse Effect means a material adverse effect on: (a) the business, operation or financial condition of the Lessee; (b) the ability of the Lessee to perform its obligations under the Lease Documents; (c) any right or remedy of any Relevant Party in respect of the Lease Documents; or Mortgage means any mortgage entered into or to be entered into, as the context may require, between Owner and the Security Trustee in respect of the Aircraft. MPDor Manufacturer's Planning Document means the Manufacturer's Maintenance Planning Data document, as revised from time to time to include all revisions up to and including the then most current revision issued by the Manufacturer. MRB means the Maintenance Review Board Report document which is approved by EASA,as revised from time to time to include all revisions up to and including the then most current revision. OC/CM parts means the on condition and condition monitored parts which are listed in (a) the equipment list in respect of the Aircraft provided by the Manufacturer at delivery of the Aircraft and if applicable, (b) then current OEM MPD and (c) Lessee’s Maintenance Programme approved by the Aviation Authority. Owner means Lessor or any other person notified in writing by Lessor to Lessee as the owner of the Aircraft at the relevant time. Parts means all appliances, components, parts, instruments, appurtenances, accessories, furnishings and other equipment of whatever nature, including the APU and Landing Gear (but excluding whole Engines or engines), so long as the same shall be furnished with, incorporated in, installed on, or attached to the Aircraft, Airframe or any Engine or so long as title thereto shall remain vested in Owner in accordance with the terms of Clause 17 (Replacement of Parts) after removal from the Aircraft, Airframe or such Engine. Permitted Lien means: (a) the Liens of others under agreements or arrangements to the extent expressly permitted by the terms of this Agreement; (b) Liens for taxes either not yet assessed or, if assessed, not yet due or being contested in good faith by appropriate proceedings and for which adequate reserves have been made so long as such proceedings or the continued existence of the Lien do not involve any likelihood of the sale, forfeiture or loss of any Item of Equipment or any interest therein or any criminal liability of any Indemnitee; (c) material men’s, mechanics’, workmen’s, repairmen’s, carriers, employees’, hangers, or other like Liens arising in the ordinary course of business for amounts the payment of which is either not overdue or is being contested in good faith by appropriate proceedings and for which adequate reserves have been made so long as such proceedings or the continued existence of the Lien do not involve any danger of the sale, forfeiture or loss of any Item of Equipment or interest therein or any criminal liability of any Indemnitee; |
