Indemnitee means a Relevant Party and Lessor Parent, and any of their directors, officers, partners, employees, agents, contractors, subsidiaries, successors, assignees and Affiliates. Insurances means the contracts and policies of insurance and reinsurance in respect of the Aircraft required to be maintained by the Lessee under Clause 22 (Insurance) and Schedule 10 (Insurance Requirements). Item of Equipment means, as the context may require, the Aircraft, Airframe, any Engine or any Part then leased under this Agreement. Landing Gear means the landing gear (as per the Manufacturer’s definition, i.e., excluding actuating mechanisms, etc.) installed on the Airframe on the Delivery Date (or such landing gear as may be substituted therefor after the Delivery Date in accordance with the requirements of this Agreement and title of which is transferred to Owner and (if applicable) subject to the Mortgage). Landing Gear Overhaul means the full overhaul of any Landing Gear in accordance with the manufacturer's overhaul manual, at the time prescribed by the Approved Maintenance Programme and certified by EASA. Lease Document means each of this Agreement, the Lease Supplement, the Assignment of Insurance, the Purchase Agreement Assignment, the Manufacturer Consent and Agreement, the Airframe Warranty Agreement, the Engine Warranty Assignment,the Power of Attorney, the Security Deposit Letter of Credit (if applicable), IDERA (if applicable), the Permitted Sublease (if applicable), the Bill of Sale, the BFE Bill of Sale (if applicable), the Eurocontrol Letter, any Finance Document to which Lessee is a party, any notice, acknowledgement, consent or certificate required hereunder or thereunder, any document or agreement in respect of the Aircraft entered into between Lessor and Lessee or any other document or agreement agreed from time to time by Lessor and Lessee to constitute a Lease Document. Lease Supplement means each lease supplement, substantially in the form of Schedule 2 (Form of Lease Supplement), to be entered into between Lessor and Lessee for the purpose of leasing the Aircraft under this Agreement. Lease Period means the period as determined in accordance with Clause4.2 (Lease Period) of the Lease. Lender means any person notified by Lessor to Lessee as lender to Lessor or Owner in connection with Owner's acquisition of the Aircraft. Lessor Lien means: (a) any Lien whatsoever from time to time created by or through Lessor or Owner in connection with financing of the Aircraft; (b) any other Lien in respect of the Aircraft which results from acts of or claims against an Indemnitee not related to the transactions contemplated by or permitted under this Agreement; and (c) any Lien in respect of Lessor Taxes, in each case unless such Lien arises, directly or indirectly, by reason of (i) the occurrence of an Event of Default, (ii) the breach by Lessee of any obligation under any Lease Document, or (iii) the use or operation of the Aircraft by Lessee, sub-lessee or any other person that is permitted to operate, use or possess the Aircraft pursuant to the provisions of this Agreement. |
