Engine Manufacturer means Rolls-Royce. Engine Warranties has the meaning given to “Engine Warranties” in the Engine Warranty Assignment. Engine WarrantyAssignment means the engine warranty assignment agreement entered into or to be entered into, as the context may require, between HKIAL, Lessor, Lessee, the Security Trustee (if required by Lessor) and the Engine Manufacturer. Eurocontrol means the European Organization for the Safety of Air Navigation established by the Convention related to the Co-operation for the Safety of Air Navigation (Eurocontrol) signed on 13 December 1960, as amended by the protocol thereto signed on 12 February 1981. Eurocontrol Letter means a letter executed or to be executed by Lessee to Eurocontrol substantially in the form set out in Schedule 12 (Form of Eurocontrol Letter). Event of Default means any of the events referred to in Clause 25 (Events of Default). Event of Loss with respect to the Aircraft or an Engine (as applicable) means any of the following events with respect to such Item of Equipment: (a) loss of the Aircraft or Engine (as applicable) or the use thereof due to hijacking, theft or disappearance (i) for a period in excess of thirty (30) days or (ii) if earlier, beyond the date of termination or expiration of this Agreement; (b) the destruction, damage beyond economic repair or rendition of the Aircraft or Engine (as applicable) permanently unfit for normal use for any reason whatsoever; (c) any loss of or damage to the Aircraft or Engine (as applicable) which results in an insurance settlement with respect thereto on the basis of a total loss, or a constructive or compromised or agreed or arranged total loss; (d) a Compulsory Acquisition; (e) the condemnation, confiscation, deprivation or seizure of, or requisition of use or hire (other than where the same amounts to the Compulsory Acquisition of the Aircraft or Engine (as applicable)) of, such Item of Equipment, which deprives any person entitled to have possession and/or use of the Item of Equipment of possession and/or use in excess of sixty (60) consecutive days or, if earlier, beyond the date of termination or expiration of this Agreement. An Event of Loss to the Aircraft shall be deemed to have occurred if an Event of Loss occurs with respect to the Airframe. Expiry Date means the date falling 144 months after the Delivery Date. FAA means, as the context may require or permit, the United States Federal Aviation Administration, the Department of Transportation, the Administrator of the Federal Aviation Administration, and any person or Governmental Entity succeeding to the functions of any of the foregoing. FAR means the United States Federal Aviation Regulations issued by the FAA pursuant to the Federal Aviation Act of 1994, embodied in Title 14 of the United States Code of Federal Regulations, as amended or supplemented from time to time. |
