Seller means AIRBUS SAS or its Affiliate. Side Agreement has the meaning ascribed to it in Clause 20.3 (b). Structural Repair Manual or SRM means the then current revision of the structural repair manual issued by the Manufacturer. Supplemental Amount means any and all amounts, liabilities and obligations which Lessee assumes or agrees under any Lease Document to pay to Lessor or any other person, including Agreed Value payments, but excluding Rent. Tax Deduction means a deduction or withholding for or on account of Tax from a payment under a Lease Document. Tax means any tax, levy, impost, duty or other charge or withholding of a similar nature (including any related penalty or interest). Tax Indemnitee means each Relevant Party. Termination Date means the Expiry Date or, if earlier, the date of termination of the leasing of the Aircraft pursuant to the Lease. VAT Amount means the amount of any value added, goods or services Tax or any Tax of a similar nature which replaces the same or is levied in addition to it. |
